Samuel A. Landy, President and CEO, commented on the results of the first quarter of 2014:

"Core FFO excluding gains on securities transactions was approximately $1.9 million for both the first quarter of 2014 and the prior year period.  Income from community operations increased to $6.6 million for the first quarter of 2014, as compared to $5.7 million for the same period in 2013.  Overall occupancy has remained stable at approximately 81.0%.  Same store occupancy has increased 100 basis points from 80.8% in the first quarter of 2013 to 81.8% currently.  Occupancy in rental units continues to be strong and is currently at 91.1%.  We anticipate adding more rental units throughout 2014 as demand dictates."

"Sales of manufactured homes were disappointing.  The severe winter weather experienced by the Northeast hampered home sales, as well as increased certain operating expenses.  We anticipate that second quarter sales will show an improvement as purchases delayed by bad weather proceed."

"We continue to implement our business plan of buying communities and upgrading the acquired communities to create additional income and value over the long term.  In March 2014, we acquired 8 manufactured home communities for approximately $25 million.  These 8 all-age communities total 1,018 sites and are situated on approximately 270 acres.  Occupancy at these communities average 70% which will allow for potential upside as we increase occupancy by upgrading the community, including the installation of new inventory and rental units.  We anticipate additional acquisitions in 2014 and our current pipeline consists of six manufactured home communities with an aggregate purchase price of approximately $17.6 million."

Notes:
(1)  Non-US GAAP Information:  FFO is defined by the National Association of Real Estate Investment Trusts ("NAREIT") as net income applicable to common shareholders, excluding gains or losses from sales of depreciable assets, plus real estate-related depreciation and amortization.   We define Core FFO as FFO plus acquisition costs.  We define Income from Community Operations as Rental and Related Income less Community Operating Expenses.  FFO and Core FFO per diluted common share are defined as FFO and Core FFO divided by weighted average diluted common shares outstanding.  FFO and Core FFO per diluted common share should be considered as supplemental measures of operating performance used by real estate investment trusts (REITs).   FFO and Core FFO per diluted common share exclude historical cost depreciation as an expense and may facilitate the comparison of REITs which have different cost basis.  The items excluded from FFO and Core FFO per diluted common share are significant components in understanding the Company's financial performance.

FFO and Core FFO per diluted common share (A) do not represent cash flow from operations as defined by accounting principles generally accepted in the United States of America; (B) should not be considered as an alternative to net income as a measure of operating performance or to cash flows from operating, investing and financing activities; and (C) are not alternatives to cash flow as a measure of liquidity.  FFO and Core FFO per diluted common share, as calculated by the Company, may not be comparable to similarly titled measures reported by other REITs.
